Sams Enterprises is a B2B wholesale supply business serving HoReCa (Hotels, Restaurants, Catering), corporate, and institutional clients across 50+ product categories. The Website and our services are intended for business, bulk, and institutional procurement purposes and not for individual retail/consumer purchases, unless expressly stated otherwise.

2. Eligibility

By using this Website, you represent that:

• You are at least 18 years of age
• You are authorized to place orders and enter into transactions on behalf of the business/institution you represent
• The information you provide (including GSTIN, business name, and address) is accurate and current

3. Account Registration

You may be required to register an account to place orders. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

4. Products, Pricing, and Availability

• All product descriptions, images, and specifications are provided for reference; actual products may vary slightly.
• Prices are subject to change without prior notice and are exclusive of applicable taxes unless stated otherwise.
• Bulk/wholesale pricing may be subject to minimum order quantities (MOQs), which will be communicated at the time of quotation or order.
• We reserve the right to limit or refuse order quantities at our discretion, including to prevent misuse of promotional pricing.
• Product availability is not guaranteed until an order is confirmed in writing.

5. Orders and Payment

• Orders are confirmed only upon our written acknowledgement (email, invoice, or order confirmation).
• Payment terms (advance, partial, or credit-based) will be as agreed at the time of order confirmation, particularly for institutional and corporate accounts.
• All invoices will be GST-compliant and issued as per applicable tax regulations.
• We reserve the right to cancel or hold orders pending payment verification.

6. Delivery and Shipping

• Delivery timelines communicated are estimates and not guaranteed, and may vary due to logistics, location, or product availability.
• Risk of loss or damage to goods passes to the Buyer upon delivery to the specified address.
• The Buyer is responsible for providing accurate delivery details; delays or losses due to incorrect information are not our responsibility.
• Additional delivery/logistics charges may apply based on order size, location, or urgency and will be communicated prior to dispatch.

7. Returns, Replacements, and Cancellations

• Given the bulk/wholesale nature of orders, returns and cancellations are handled on a case-by-case basis and must be reported within a day of delivery, accompanied by supporting evidence (photos/videos of damaged or incorrect goods).
• Custom, perishable, or made-to-order items are generally non-returnable, except in cases of manufacturing defects or delivery errors on our part.
• Approved refunds or replacements will be processed within 5 business days.

8. Institutional and GEM/Kendriya Bhandar Orders

Orders placed through Government e-Marketplace (GEM), Kendriya Bhandar empanelment, or other institutional procurement channels will additionally be governed by the applicable terms, timelines, and conditions specified under those respective platforms/agreements, which shall take precedence in case of conflict with these Terms for such orders.

9. Intellectual Property

All content on the Website — including text, logos, images, graphics, and product catalogues — is the property of Sams Enterprises or its licensors and is protected under applicable intellectual property laws. You may not reproduce, distribute, or use this content for commercial purposes without our prior written consent.

10. User Conduct

You agree not to:

• Use the Website for any unlawful purpose or in violation of these Terms
• Attempt to gain unauthorized access to our systems or data
• Misrepresent your identity or business credentials
• Interfere with the proper functioning of the Website

11. Limitation of Liability
